End User License Agreement

PLEASE READ CAREFULLY. By installing, accessing, or using JyvGaming, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Definitions

• "Software" means JyvGaming, including the desktop client, updates, patches, AI models, and accompanying documentation.
• "Company," "we," "us" means JYV STREAM LLC, a Florida limited liability company.
• "You," "User" means the natural person or legal entity licensing the Software.
• "Subscription" means the recurring paid right to use the Software, billed monthly.
• "AI Service" means the cloud GPU processing layer described in Section 6.

2. License Grant

Subject to your compliance with this Agreement and timely payment of all fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely for your personal or internal business use during an active Subscription term.

3. Subscription, Fees, and Billing

• The Subscription fee is $99.00 USD per month, charged in advance via Stripe and renewing automatically each month until canceled. Cancellation stops future renewals; access continues through the end of the current billing period.
• All fees are non-refundable except as expressly set forth in our Refund and Cancellation Policy (jyvgaming.gg/legal/refunds).
• Company may change pricing on at least 30 days’ prior notice; changes apply to the next renewal cycle.
• You are responsible for all applicable taxes, duties, and similar governmental charges.

4. Account and Activation

Each Subscription is licensed to a single individual identity. You must safeguard your credentials and license keys. You are responsible for all activity under your account. Concurrent use on more than three (3) devices, or sharing of credentials, is prohibited and may result in immediate suspension.

5. Restrictions

You shall not, and shall not permit any third party to:

• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
• rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Software available to any third party;
• remove, obscure, or alter any proprietary notices, labels, or marks;
• use the Software to develop or train a competing product or machine-learning model;
• circumvent license enforcement, telemetry, or update mechanisms;
• use the Software in any manner that violates applicable law or third-party rights.

5A. Acceptable Use Policy

Your use of the Software is also subject to our Acceptable Use Policy (jyvgaming.gg/legal/aup), which is incorporated into this Agreement by reference. Violations of the Acceptable Use Policy constitute a breach of this Agreement.

6. AI / GPU Processing

The Software performs a substantial portion of audio processing locally on your device. Certain advanced features may transmit anonymized audio frames to our cloud GPU service ("Modal Labs, Inc.") for inference. Transmitted data is processed in volatile memory and deleted within ten (10) minutes of completion. We do not retain raw user audio. Error logs (timestamps, request IDs) may be retained up to thirty (30) days for service reliability. EU/UK users are routed to EU-based infrastructure, including GPU processing and supporting services.

7. Local-First Data Handling

Recordings produced by the note-taker, voice isolation captures, and gameplay audio are stored locally on your device unless you explicitly export them. Company does not collect, store, or transmit your raw recordings. 9. Auto-Updates

The Software includes an opt-in auto-update mechanism. You may toggle automatic updates in Settings. We strongly recommend keeping the Software up to date; older versions may be deprecated and may cease to function.

10. Intellectual Property

The Software, all copies, and all intellectual property therein are and shall remain the exclusive property of Company and its licensors. This Agreement does not transfer any ownership rights. All rights not expressly granted are reserved.

11. Feedback

If you provide feedback, ideas, or suggestions, you grant Company a perpetual, irrevocable, royalty-free, worldwide license to use them for any purpose without compensation or attribution.

12. Third-Party and Open-Source Components

The Software may include third-party and open-source components, governed by the notices in the bundled OPEN_SOURCE_NOTICES file. To the extent of any conflict, those notices control as to the licensed components.

13. Term and Termination

This Agreement is effective until terminated. It terminates automatically if you breach it, fail to pay, or cancel your Subscription. Upon termination, you must cease all use and uninstall the Software. Sections 5, 10–16 survive termination.

14. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. JYVGAMING DELIVERS ADVANCED AUDIO CLARITY, SPATIAL ACCURACY, AND PERCEPTUAL AWARENESS THROUGH ITS PROCESSING TECHNOLOGY. PERFORMANCE IS INFLUENCED BY SYSTEM CONFIGURATION AND USAGE CONDITIONS. THIS DOES NOT AFFECT YOUR STATUTORY RIGHTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY. COMPANY’S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

16. Indemnification

You will defend, indemnify, and hold harmless Company against any claim arising from (a) your misuse of the Software, (b) your violation of this Agreement, or (c) your violation of any third-party right.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law principles. Disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Orange County, Florida. The parties waive any right to a jury trial or to participate in a class action. EU/UK consumers retain any non-waivable rights under their local law.

18. Export Controls and Sanctions

You represent that you are not located in, or a resident of, any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. denied-party list.

19. Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements. If any provision is unenforceable, it will be modified to the minimum extent necessary; the remainder will remain in force. Company may assign this Agreement; you may not. No waiver is effective unless in writing.
