Terms of Service

These Terms govern your access to and use of our website, marketing pages, account portal, and the JyvGaming service. The desktop software is also governed by the EULA. The Refund and Cancellation Policy is incorporated by reference.

1. Acceptance

By creating an account, purchasing a Subscription, or using the Service, you agree to these Terms and to our Privacy Policy, EULA, Acceptable Use Policy, and Refund and Cancellation Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority where you reside) and able to form a binding contract. By using the Service, you represent that you meet these requirements.

3. Accounts

You are responsible for all activity under your account. You must provide accurate, current, and complete information and update it as needed. We may suspend or terminate accounts for suspected fraud, abuse, or violation of these Terms.

4. Subscription, Auto-Renewal, and Cancellation

• Subscriptions are $99.00 USD per month, billed monthly in advance via Stripe.
• Subscriptions auto-renew at the end of each billing cycle until canceled. Cancellation stops future renewals; access continues through the end of the current billing period.
• Refunds are available only as set forth in our Refund and Cancellation Policy.
• We may change pricing on at least 30 days’ notice; changes apply to the next billing cycle.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy (incorporated here by reference). Violations may result in suspension or termination without refund.

6. Beta and Early Access

Pre-release features may be made available under our Beta/Early Access Program Agreement, which controls over these Terms as to those features.

7. Intellectual Property

We own the Service and all related intellectual property. We grant you a limited, revocable, non-transferable license to access and use the Service per these Terms. You may not copy, modify, or create derivative works of the Service except as expressly permitted.

8. User Content and Local Data

Recordings and content created with the Software remain on your device and yours. We do not claim ownership of your recordings. To the extent you submit feedback or suggestions, Section 11 of the EULA applies.

9. Privacy

Our Privacy Policy describes how we handle data. By using the Service you acknowledge the processing described there.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give advance notice of material changes that adversely affect paying users.

11. Third-Party Services

The Service relies on third-party providers (e.g., Stripe for payments, Modal for GPU inference). We are not responsible for their acts or omissions. Their terms and privacy notices apply to your use of their services.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (B) USD $100. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL.

14. Indemnification

You agree to defend, indemnify, and hold harmless JYV STREAM LLC from any claim arising from your use of the Service, your content, or your breach of these Terms.

15. Governing Law; Arbitration; Class Waiver

These Terms are governed by Florida law (without regard to conflicts rules). All disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Orange County, Florida. THE PARTIES WAIVE ANY RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. EU/UK consumers retain non-waivable statutory rights and may bring claims in their place of residence.

16. Changes to the Terms

We may update these Terms. Material changes will be notified at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

17. Termination

We may suspend or terminate your access for breach. You may stop using the Service at any time. Sections 7–15 survive termination.

18. Miscellaneous

These Terms (together with the documents incorporated) constitute the entire agreement between us regarding the Service. If any provision is unenforceable, the remainder will remain in effect. We may assign these Terms; you may not without our prior written consent.
